Job scope:
- Provide legal advice on general banking and structured trade finance transactions;
- review, draft and negotiate a wide range of general banking and structured trade finance related documentation, including parental guarantees, loans agreements, letter of credit agreements and receivables purchase agreements. Negotiate standard banking terms and other day to day banking agreements and NDAs.
- Provide comprehensive legal advice on a wide range of corporate and governance matters, including corporate restructurings, subsidiary management and support for board and committee meetings.
- Collaborate closely with the board of directors and senior leadership team to ensure effective corporate governance practices, including compliance with applicable laws, regulations, and best practices.
- Develop close working relationships with Treasury, Financial Services, Financial Markets and Governance functions of the business to identify and manage legal risks with internal and external counterparts, and develop strategies to support the achievement of commercial objectives while managing and minimising legal risks.
- Provide timely legal advice and solutions.
- Engage and manage external counsel where appropriate, and all related expenses.
- Maintain and develop legal templates, and processes to enhance productivity and consistency.
- Assist the global Corporate Secretary in the administration of Bunge Global SA and any other Bunge group of entities, including interfacing with external and internal counsel on a variety of legal and regulatory filings.
Requirement :
A. Knowledge & Skills:
- Experience in structuring, drafting and negotiating legal documentation for general banking and structured trade finance transactions including but not limited to loans and credit facility agreements (e.g. LMA/APLMA format loan documentation), standby letter of credit/letter of credit facility agreements, receivables purchase agreements/forfaiting agreements, prepayment agreements and participation agreements (e.g. BAFT documentation)
- Experience in drafting and negotiating ISDA and other derivative and financial market products related documentation (desired)
- Good understanding of general banking and trade related financing issues such as assignment and novation, true sale, negotiable instruments, trade credit insurances, letters of credit (UCP 600), standby letters of credit, letter of credit confirmation and bank guarantees.
- Experience in cross border finance transaction.
- Strong verbal and written communications skills with ability to work under a diverse and multicultural environment.
- Calm and confident demeanor with the ability to interact with all levels of senior management.
- Resilient, with the ability to navigate effectively and productively legal processes.
- Excellent organisation skills, with ability to adapt to changing priorities and deadlines.
- Strong English language drafting skills.
- willingness to adopt and leverage AI tool to enhance productivity and continuous learning
- A team player with high professional integrity.
- English language written and spoken fluency.
B. Education & Experience:
- Qualified lawyer admitted in England & Wales, New York, EU, Singapore, Australia or any other major jurisdictions.
- At least 3-4 years’ experience in general banking and structured trade finance transactions and corporate governance gained from a major law firm, financial institution or corporate setting.
